These Terms & Conditions ("Terms") form an agreement between you and Host Haven Group Ltd, a company incorporated in England & Wales with company number 17255321, trading as "Host Haven" ("Host Haven", "we", "us", "our"). They govern your access to and use of the Host Haven application, website and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Host Haven is a software platform that helps holiday rental property owners manage bookings, guests, calendars, communications, finances, reviews and marketing. We may add, change or remove features at any time.

2. Eligibility & Account

You must be of legal age in your jurisdiction and, if you are using the Service on behalf of an organisation, you must have authority to bind it. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate information and keep it up to date.

3. Acceptable Use

You must not, and must not permit anyone else to:

  • use the Service unlawfully or for any fraudulent, deceptive or spam purposes;
  • infringe any third party's intellectual property, privacy or other rights;
  • upload malware, attempt to gain unauthorised access, probe or scan our systems, scrape data, or interfere with the security or integrity of the Service;
  • reverse engineer, decompile, resell or redistribute the Service or circumvent any technical limits.

4. Intellectual Property

We retain all right, title and interest in the Service, including the software, documentation, branding and content we provide. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

5. Your Content

You retain ownership of the content you submit to the Service (such as property details, guest data and messages). You grant Host Haven a worldwide, non-exclusive licence to host, process and display that content solely to provide and improve the Service.

6. Payment, Subscriptions, Tax & Refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Billing frequency, renewal, cancellation, taxes and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

7. Service Levels

We work hard to keep the Service reliable but do not guarantee that it will be uninterrupted, error-free or available at all times.

8. Suspension & Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. You may export your data for a reasonable period before deletion.

9. Warranties & Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, special, incidental or punitive damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify Host Haven against claims arising from your content, your unlawful use of the Service or your breach of these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England & Wales, without regard to conflict-of-laws rules. The courts of England & Wales will have exclusive jurisdiction over any dispute, subject to any mandatory consumer rights you may have.

14. Force Majeure

Neither party will be liable for any failure or delay in performance due to events beyond its reasonable control.

15. Assignment

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of assets.
